Introduction

These Terms govern your use of the SoftLog platform, APIs, AI features, AI Managed Services, implementation and support services, pre-release testing, evaluations, and our website (collectively, the Services). By accessing or using any Service, you accept these Terms.

Who these Terms apply to

These Terms apply to customers, subscribers, end users, signers, testers and evaluators, and website visitors.

Scope of Services These Terms cover:

  • Hosted Services (including the SoftLog platform and features)
  • Support and implementation
  • APIs
  • AI Features
  • AI Managed Services
  • Testing (Pre-Release)
  • Evaluations and trials
  • Website

Key responsibilities and acceptable use You agree to:

  • Use the Services lawfully and only as permitted by these Terms and applicable law.
  • Not scrape, spam, interfere with, or degrade the Services.
  • Not reverse engineer or decompile the Services, except to the limited extent permitted by applicable law.
  • Not conduct benchmarks, load tests, vulnerability assessments, or penetration tests without our prior written consent.
  • Not upload or process children’s data or payment card data within the Services.
  • Not misrepresent AI-generated content as human-generated; disclose AI use where required by law or regulation.
  • Protect your credentials, accounts, and API keys; you are responsible for their use.
  • Respect all intellectual property and branding guidelines.
  • Comply with any Service- or API-specific limits, quotas, and versioning requirements.

Privacy and data protection Roles

  • Customer Data: You are the controller of Customer Data (data you or your users provide or generate in the Services). SoftLog acts as your processor when processing Customer Data on your instructions.
  • Account/Website Data: SoftLog is the controller for account administration data and website interaction data.

Processing scope

SoftLog processes Customer Data to provide, secure, and monitor the Services, and as otherwise permitted by your documented instructions and applicable law.

Deletion and return

  • In-term: You may delete Customer Data within the Services during your subscription.
  • Post-termination: After termination and any retrieval window described below, SoftLog will delete Customer Data subject to legal retention requirements.

Security and assurance

SoftLog maintains layered security including encryption in transit and at rest, access controls, and backups. Additional Security Controls may be available.

Services and updates

SoftLog will provide the Services with reasonable skill and care but does not guarantee uninterrupted or error-free operation. Features and APIs may change; when we deprecate an API version, you must adopt the new version within the timelines we specify. We may monitor usage for security, performance, and compliance.

Fees and billing

Fees are as stated in your Order Form. Taxes are additional where applicable. You may not set off or withhold payments. Late payments may accrue interest and collection costs.

Term, renewal, suspension, and termination

Subscriptions auto-renew unless you provide timely notice of non-renewal per your Order Form. We may suspend or terminate access for non-payment, material breach, security risk, or unlawful use. We may withdraw website access at any time. We may terminate API access for breach.

Switching and data export

  • Notice: You may request switching/porting/erasure with at least two months’ notice.
  • Transitional Period: For 30 days after notice, SoftLog will maintain Services and security and provide reasonable assistance; fees continue during this period.
  • Completion: On completion of switching, the contract auto-terminates.
  • Early termination fees: If you end during the initial term, 100% of remaining fees are due; during a renewal term, 50% of remaining fees are due.
  • Data retrieval: After the Transitional Period, SoftLog will provide the most recent backup of your exportable data, then delete remaining data subject to legal retention.
  • Exportable: Fully signed PDFs and CSV indexes.
  • Not exportable: SoftLog code, schemas, proprietary configurations, security tools, internal logs, UI/UX assets, and similar materials.

Post-termination data return

You have a 60-day window after termination to request the latest backup of exportable data (PDF/CSV). After that, deletion occurs per policy and legal retention.

Security incidents

We maintain least-privilege access and layered protections. You must promptly notify us of any suspected unauthorized access to your account. We will notify you of security incidents as required by law.

AI Features

Ownership of outputs: You own the AI-generated output from your prompts and data (AI Output). To the extent SoftLog holds any rights in the AI Output, we assign those rights to you.

Training and models: SoftLog does not train third-party or general models on your Customer Data. We may create Customer-Specific Models for you; these are erased within 60 days after termination.

Similarity: AI Outputs may be similar to outputs for others and are not guaranteed to be unique.

Use restrictions

You must apply human review, oversight, and judgment before relying on AI Output. Do not use AI Features for unlawful purposes, with children’s data, or to scrape content beyond permitted methods. Disclose AI use where required.

Indemnity carve-out

Our platform IP indemnity does not extend to AI Output or to combinations you direct.

AI Managed Services Deliverables

We may deliver extracted smartfields and summaries into your account. Deliverables are not legal advice and are not guaranteed to be error-free.

Standards, fees, and term

Services are provided with reasonable skill and care. Fees are invoiced per your Order Form. The term runs through completion; either party may terminate early for uncured material breach.

Confidentiality and IP

You own Customer Data and the deliverables. SoftLog owns the platform and services IP. You grant us a limited license to use your data to perform services. You agree SoftLog may use feedback to improve its services.

Liability Indirect, incidental, consequential, and similar damages are excluded. Our aggregate liability for AI Managed Services is capped at the fees paid for those services. Your fee payment obligations are not capped.

Testing (Pre-Release)

Pre-release features are highly experimental and may never be released. Either party may terminate access at any time. Restrictions include no disclosure, benchmarking, security testing, reverse engineering, competitive use, credential sharing, or card data. Pre-release features are confidential. Feedback is assigned to SoftLog. We may use anonymized and aggregated usage data.

Evaluations and trials

SoftLog may suspend or terminate evaluations or delete evaluation data at any time and has no obligation to return evaluation data. Strict use restrictions and confidentiality apply. Services are provided “as is” with nominal liability caps and short claim windows.

API Terms

License SoftLog grants a non-exclusive, revocable, non-transferable license to use the APIs solely to integrate with SoftLog as permitted by our documentation and these Terms.

Access Use only

SoftLog-issued keys, keep them secure, and obtain required end-user consents for data access.

Restrictions

No spam, degradation, unlawful use, infringement, branding misuse, or reverse engineering except as legally allowed.

Monitoring and changes

Usage may be monitored for security and compliance. You must adopt new API versions when required.

Warranty and termination APIs are provided “as is” with broad limitations. We may terminate API access for breach.

Website Terms

The website is provided for informational, non-commercial use. You may link fairly and lawfully without implying endorsement and without framing. Our IP is protected. We do not guarantee accuracy or availability and are not responsible for third-party sites. Nominal liability caps apply.

E-signatures

SoftLog implements e-signature features designed to meet eIDAS Article 26 minimum criteria for advanced e-signatures. You are responsible for assessing suitability for your use case and for complying with applicable laws.

Intellectual property

You own Customer Data and AI Output. SoftLog owns the platform, Services, and related improvements. SoftLog does not train general models on your Customer Data; any Customer-Specific Models are erased within 60 days after termination. You agree SoftLog may use feedback to improve its products and services.

Confidentiality

Each party will protect the other’s confidential information and use it only as necessary to perform under these Terms. Disclosure is permitted where legally required, with notice where lawful. Upon request, each party will return or destroy confidential information, subject to legal retention.

Indemnities

  • SoftLog indemnity: SoftLog will defend and indemnify you against third-party IP claims alleging that the SoftLog platform infringes a third party’s intellectual property rights. This indemnity excludes your content, AI Output, and combinations not provided by SoftLog.
  • Your indemnity: You will defend and indemnify SoftLog against claims arising from your misuse of the Services, illegal use, or breach of these Terms.

Disclaimers

SoftLog does not provide legal advice. AI may be inaccurate, incomplete, or outdated; you must apply human review before relying on AI Output. Except where expressly committed, the Services are provided “as is” and “as available.”

Notices

Notices will be sent to the addresses in your Order Form or, if none, to the contact details below. SoftLog may provide notices in-product or by email.

Assignment

Neither party may assign these Terms without the other’s consent, except to an affiliate or in connection with a change of control, provided the assignee is not a direct competitor and assumes all obligations.

Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control. The affected party will resume performance as soon as feasible.

Changes to these Terms

We may update these Terms by posting changes here. For significant changes, we will notify you by email or within the Service.
